According to the Economic Crime and Corporate Transparency (ECCT) Act, you must use an “appropriate address” for your registered office. Section 86(2) of the Companies Act 2006 reinforces this requirement.

Understanding the Role and Requirements of Your Registered Office Address

The registered office is your business’s legal address, distinct from its trading address. Moreover, many businesses choose to maintain a separate registered address, which Companies House and HM Revenue and Customs consistently use for official correspondence. Furthermore, a company registered in England or Wales can move its registered office within either country, while those in Scotland or Northern Ireland, operating under different jurisdictions, must keep it within their respective country.  Beginning 4 March 2024, the ECCT Act 2023 mandates that all companies, including incorporated partnerships, must, therefore, use an “appropriate address” as their registered office.

What constitutes an ‘appropriate address’?

As outlined by the ECCT Act and now detailed in section 86(2) of the Companies Act 2006, an “appropriate address” is defined as one where, under normal circumstances:

  • any statutory mail sent to a company’s registered office is likely to be brought to the attention of someone authorised to act on behalf of the company, and,
  • someone at the registered office must confirm the delivery of documents with an acknowledgement of receipt.

Moreover, it is important to note that PO Boxes do not fulfil these criteria. If you are using a PO Box as your registered office, you must change it immediately. Inform Companies House right away.
